1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the website at www.roseworksfabrication.com (the "Site") and any custom fabrication, design, installation, or related services provided by Roseworks Fabrication ("Roseworks," "we," "our," or "us"). By accessing the Site, submitting an order, or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our services.

2. Trade and consumer use

Roseworks Fabrication primarily serves interior designers, architects, builders, and other trade professionals. Order forms, quoting, and certain digital tools on the Site are intended for verified trade accounts. Homeowners seeking full-service consultations are referred to our sister company, Blinds Couture. We reserve the right to verify trade credentials and to refuse, suspend, or terminate accounts at our discretion.

3. Quotes, orders, and acceptance

All quotes are estimates based on information you provide and remain valid for thirty (30) days unless otherwise stated in writing. An order is not binding on Roseworks until we issue a written confirmation, you have approved final specifications and measurements, and any required deposit has been received.

You are responsible for the accuracy of all measurements, fabric selections, hardware choices, mounting details, and other specifications submitted through our order forms or otherwise provided. We are not responsible for errors resulting from incorrect or incomplete information supplied by you or your client.

4. Pricing, deposits, and payment

Prices are quoted in U.S. dollars and exclude taxes, freight, installation, and any third-party fees unless explicitly stated. A non-refundable deposit, typically fifty percent (50%) of the order total, is required to begin fabrication. The remaining balance is due prior to shipment, pickup, or installation unless other terms are agreed in writing.

Late payments may accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by Colorado law. You agree to reimburse reasonable collection costs and attorneys' fees incurred in collecting past-due amounts.

5. Custom work, lead times, and changes

All products fabricated by Roseworks are custom-made to your specifications. Lead times are estimates and may vary based on workload, fabric availability, hardware sourcing, and other factors outside our control. We are not liable for delays caused by suppliers, freight carriers, weather, labor disruptions, or other circumstances beyond our reasonable control.

Once fabrication has begun, change requests may incur additional charges or be declined. All change orders must be submitted in writing and are subject to our written acceptance.

6. Customer-supplied materials (COM)

When you supply your own fabric, trim, or hardware ("COM"), you are responsible for inspecting all goods upon receipt and notifying Roseworks of any defects, shortages, or discrepancies before fabrication begins. Roseworks is not responsible for flaws, dye lot variations, shrinkage, pattern repeat issues, or other defects inherent to the COM, nor for replacement costs if additional yardage becomes necessary.

7. Cancellations and returns

Because every order is custom, cancellations are accepted only before fabrication has begun and may be subject to fees covering materials already ordered, design time, and processing costs. Custom-fabricated goods are not returnable except in the case of a manufacturing defect attributable to Roseworks, as described below.

8. Inspection and acceptance

You must inspect all goods promptly upon receipt or installation and notify Roseworks in writing of any defects, damage, or non-conformity within seven (7) days. Failure to provide timely written notice constitutes acceptance of the goods.

9. Limited warranty

Roseworks warrants its workmanship to be free from defects in fabrication for one (1) year from the date of completion, under normal residential use. This warranty excludes damage from misuse, improper cleaning, sun fade, exposure to moisture or pets, customer or third-party installation, alteration, or normal wear. Hardware, motorization components, and fabrics are covered only to the extent of the manufacturer's warranty.

EXCEPT AS EXPRESSLY STATED, ROSEWORKS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ROSEWORKS' TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE, THESE TERMS, OR ANY PRODUCT OR SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO ROSEWORKS FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM. IN NO EVENT WILL ROSEWORKS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR USE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Roseworks and its officers, employees, contractors, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Site, your provision of inaccurate specifications, or your violation of any applicable law or third-party right.

12. Intellectual property

The Site, including all text, graphics, logos, images, photographs, designs, and software, is the property of Roseworks or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Site without our prior written consent. Roseworks retains the right to photograph completed work and to use those images for portfolio, marketing, and promotional purposes unless you opt out in writing.

13. User accounts

Certain features of the Site require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or that are inactive for extended periods.

14. Acceptable use

You agree not to use the Site to upload or transmit unlawful, harmful, or infringing content; attempt to gain unauthorized access to any portion of the Site or related systems; interfere with the operation of the Site; or use any automated means to scrape, harvest, or extract data without our prior written consent.

15. Third-party links and services

The Site may contain links to third-party websites and services, including our sister company Blinds Couture. Roseworks does not control and is not responsible for the content, policies, or practices of any third party.

16. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

17. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or our services will be brought exclusively in the state or federal courts located in Adams County, Colorado, and you consent to the personal jurisdiction of those courts.

18. Changes to these terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
